The terms governing your use of yashviglobal.com and any engagement with Yashvi Global. Plain English where we can manage it. The lawyers wrote a few of the longer paragraphs.
01Acceptance of these terms
These Terms & Conditions (“Terms”) govern your access to and use of yashviglobal.com (the “Site”) and any services we provide (“Services”). By visiting the Site, requesting an audit, or signing a Statement of Work, you agree to these Terms. If you don’t agree with any part of these Terms, please don’t use the Site or engage us.
02Services we offer
Yashvi Global provides digital marketing consulting, including but not limited to technical SEO, semantic SEO, lead generation, conversion-rate optimisation, paid media management, content strategy, and analytics setup. The exact scope, deliverables, timeline, and fees for any engagement are set out in a separately signed Statement of Work or Master Services Agreement, which takes precedence over these Terms where they conflict.
03Engagement & fees
3.1 Fees
Fees are stated in the applicable Statement of Work. Retainer engagements are invoiced monthly in advance. Project engagements are invoiced 50% on signature and 50% on delivery, unless otherwise agreed in writing.
3.2 Payment terms
Invoices are due within 15 days of issue. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Persistent non-payment is grounds for suspension or termination.
3.3 Taxes
All fees are exclusive of applicable taxes (GST, VAT, sales tax, withholding). The client is responsible for any such taxes other than those based on Yashvi Global’s net income.
3.4 Out-of-pocket expenses
Travel, third-party software, paid-media spend, and similar pass-through costs are billed at cost and require written pre-approval.
04Client responsibilities
To do good work, we need timely cooperation. Specifically:
- Providing access to analytics, ad accounts, hosting, search consoles, and other tooling within 5 working days of kickoff.
- Naming a primary point of contact authorised to make decisions.
- Reviewing and approving deliverables within 5 working days. Approval is deemed given if no response is received.
- Paying invoices on time.
- Ensuring information shared with us is accurate and lawful to share.
Delays caused by the client may extend timelines and, in extended cases, increase fees.
05Intellectual property
5.1 Pre-existing IP
Each party retains ownership of its pre-existing intellectual property. Nothing in these Terms transfers ownership of such pre-existing IP.
5.2 Deliverables
Subject to full payment of fees, the client owns the deliverables created specifically for them, except for any Yashvi Global frameworks, templates, methodologies, code libraries, or audit checklists embedded in those deliverables, which remain our property under a perpetual, non-exclusive licence to the client for the deliverable’s intended use.
5.3 Right to reference
Yashvi Global may reference the engagement (client name, logo, summary outcomes) for marketing purposes, unless the client opts out in writing. Detailed case studies require written approval before publication.
06Confidentiality
Each party will treat the other’s non-public information as confidential and use it only to perform under the engagement. Confidentiality obligations survive termination for 3 years, and indefinitely for trade secrets. A separate mutual NDA, where signed, governs over this section to the extent of any conflict.
07Warranties & disclaimers
Yashvi Global warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant or guarantee specific search rankings, traffic levels, lead volumes, conversion rates, revenue, or any other quantitative outcome. Search engines, ad platforms, and consumer behaviour are outside our control.
Except as expressly stated, the Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
08Limitation of liability
To the maximum extent permitted by law, Yashvi Global’s aggregate liability for any claim arising out of or related to the Services is limited to the fees paid by the client to Yashvi Global in the 6 months preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, special, incidental, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility.
09Termination
Either party may terminate a retainer engagement on 30 days’ written notice. Project engagements terminate on completion or by mutual agreement. Either party may terminate immediately for material breach uncured for 15 days after written notice. On termination, the client pays all fees incurred through the effective date of termination, and Yashvi Global delivers any work-in-progress in a reasonably usable state.
10Governing law & disputes
These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat. Before commencing litigation, the parties agree to a 30-day good-faith negotiation period and, failing that, mediation.
